Terms & Conditions

These terms explain how you may use the Zeal Wilkes Ltd website and how we provide our architectural, planning and interior design services. Please read them carefully before instructing us or using our website.

Last Updated: 28 October 2026

These Terms and Conditions apply to the use of the Zeal Wilkes Ltd website and to architectural, planning, interior design and related professional services provided by Zeal Wilkes Ltd.

By instructing Zeal Wilkes Ltd, accepting a proposal or quotation, or otherwise engaging us to provide professional services, you agree to these Terms together with any project-specific proposal, scope of services, fee agreement or appointment issued to you.

Where a project-specific written agreement contains terms that differ from these general Terms, the project-specific agreement will take priority in relation to that project.

3. Project Enquiries

You may contact Zeal Wilkes Ltd through our website, by email, telephone or another communication method accepted by us.

When making an enquiry, you should provide accurate and relevant information about the proposed project, including where appropriate:

  • Property address
  • Type of property
  • Intended works
  • Existing use
  • Proposed use
  • Project objectives
  • Approximate budget
  • Desired programme
  • Existing drawings or surveys
  • Planning history
  • Site constraints
  • Other consultants already appointed

The quality and accuracy of the information you provide may affect the advice, programme and services we are able to offer.

An initial enquiry or discussion does not create a professional appointment unless and until the scope and commercial arrangements have been agreed.

4. Appointment and Scope of Services

Before commencing substantive professional work, Zeal Wilkes Ltd may issue a proposal, quotation, scope of services, appointment document or other written confirmation.

The document may specify:

  • Services to be provided
  • Project stages
  • Deliverables
  • Fees
  • Payment arrangements
  • Estimated programme
  • Client responsibilities
  • Exclusions
  • Third-party consultant requirements

Only services expressly included in the agreed scope will form part of our appointment.

Additional services requested later may be subject to additional fees and programme adjustments.

5. Client Responsibilities

The client is responsible for providing accurate, complete and timely information reasonably required for the project.

The client should:

  • Provide access to relevant property information
  • Disclose known restrictions or title issues
  • Provide existing drawings where available
  • Inform us of known planning or Building Regulations matters
  • Provide decisions and approvals within a reasonable time
  • Notify us promptly of changes to the brief
  • Appoint other consultants where required
  • Pay agreed fees when due

Zeal Wilkes Ltd may rely on information supplied by the client or by third parties acting for the client unless there is an obvious reason to question its accuracy.

6. Surveys and Existing Information

Unless expressly included within our appointment, Zeal Wilkes Ltd does not guarantee the accuracy of drawings, surveys, dimensions or information supplied by clients, landlords, agents, contractors, consultants or previous designers.

Existing building conditions can sometimes differ from drawings or records.

Where accurate dimensions or specialist investigation are required, measured surveys, structural surveys or other professional investigations may need to be commissioned separately.

Additional work caused by inaccurate or incomplete existing information may result in additional fees.

7. Planning Services

Where instructed to provide planning services, Zeal Wilkes Ltd may advise on the appropriate route and prepare or coordinate documentation for submission.

However, no architect, designer or planning consultant can guarantee that planning permission will be granted.

Planning decisions are made by the relevant local planning authority and may be affected by:

  • Local planning policy
  • National policy
  • Site constraints
  • Conservation requirements
  • Listed-building considerations
  • Neighbour objections
  • Highways issues
  • Environmental matters
  • Design considerations
  • Consultees
  • Planning committee decisions

A positive professional assessment or previous experience does not amount to a guarantee of approval.

8. Planning Applications

Where our appointment includes submission of a planning application, we may coordinate the submission process and prepare the architectural information included within our agreed scope.

The client remains responsible for third-party costs such as:

  • Planning application fees
  • Specialist reports
  • Surveys
  • Structural advice
  • Ecology reports
  • Heritage reports
  • Transport reports
  • Flood-risk assessments
  • Other authority or consultant charges

unless expressly stated otherwise.

Additional information requested by the planning authority after submission may fall outside the original scope and may result in additional fees.

9. Building Regulations and Technical Compliance

Planning permission and Building Regulations approval are separate processes.

Where Building Regulations services are included, Zeal Wilkes Ltd may prepare or coordinate relevant design information. Specialist input may also be required from structural engineers, fire consultants, energy assessors or other professionals.

Approval by a planning authority does not automatically mean that a project complies with Building Regulations.

The precise responsibilities of Zeal Wilkes Ltd will depend on the agreed appointment.

10. Third-Party Consultants

Projects may require services from third-party professionals, including:

  • Structural engineers
  • Mechanical and electrical consultants
  • Building-control professionals
  • Quantity surveyors
  • Party-wall surveyors
  • Planning consultants
  • Fire consultants
  • Lighting designers
  • Audio-visual consultants
  • Contractors
  • Specialist suppliers

Where we coordinate third parties, this does not automatically make Zeal Wilkes Ltd responsible for the professional work, negligence, delays or omissions of independently appointed consultants.

The contractual relationship with each consultant will depend on how that consultant is appointed.

11. Interior Design Services

Interior design services may include space planning, layouts, material selection, finishes, furniture concepts, lighting coordination, bespoke elements and other agreed design work.

Samples, images, visualisations and mood boards are intended to communicate design intent.

Actual materials, colours and finishes may vary slightly from photographs, digital screens, samples or visualisations.

Product availability may also change during a project.

Where a specified item becomes unavailable, an alternative may be proposed.

12. Visualisations

Three-dimensional images, renders, illustrations and concept visuals are representational tools.

They should not be treated as exact photographic predictions of the completed project.

Final construction, natural lighting, materials, furniture, landscaping and workmanship may create differences between visualisations and the finished space.

13. Design Changes

Clients may request changes during a project.

Minor revisions may be included where stated in the agreed service. Substantial changes to the brief, layout, scale, specification, programme or approved design may constitute additional work.

Where practical, we will explain the likely effect of material changes on fees and programme before carrying out significant additional work.

14. Project Programme

Any programme or completion date provided by Zeal Wilkes Ltd is an estimate unless expressly agreed otherwise.

Project timescales may be affected by circumstances outside our control, including:

  • Client decisions
  • Planning-authority response times
  • Building-control review
  • Consultant information
  • Contractor availability
  • Material availability
  • Site discoveries
  • Changes to the brief
  • Statutory approvals

We will use reasonable efforts to progress our services according to the agreed programme but cannot guarantee third-party timescales.

15. Construction and Contractors

Unless Zeal Wilkes Ltd has expressly been appointed to provide relevant construction-stage services, responsibility for construction methods, sequencing, workmanship, health and safety and site management rests with the appointed contractor and other responsible parties.

Design information should be read together with appropriate structural, technical and specialist information.

Contractors should not make material changes to the design without obtaining appropriate approval.

16. CDM and Health and Safety

Construction projects may be subject to duties under the Construction (Design and Management) Regulations 2015.

The parties responsible for client, designer, principal designer, contractor and principal contractor duties will depend on the structure and nature of the project.

A separate appointment may be required where Zeal Wilkes Ltd is asked to undertake additional CDM responsibilities.

17. Fees

Professional fees will be set out in the relevant proposal, quotation or appointment.

Fees may be structured as:

  • Fixed fees
  • Stage-based fees
  • Hourly fees
  • Percentage fees
  • Retainers
  • Another agreed method

Third-party costs, statutory application fees, surveys, consultants and specialist services are not included unless specifically stated.

18. Invoices and Payment

Invoices must be paid according to the payment terms stated on the invoice or in the appointment.

If an invoice remains unpaid, Zeal Wilkes Ltd may be entitled to suspend further services after reasonable notice.

Suspension may affect the project programme.

The client should raise any genuine query about an invoice promptly so that it can be reviewed.

19. Additional Services

Work outside the original scope may be charged separately.

Examples may include:

  • Additional design options
  • Major client revisions
  • Repeat planning submissions
  • Planning amendments
  • Appeals
  • Additional meetings
  • Additional site visits
  • Contractor changes
  • Reworking information caused by changes from others
  • Specialist coordination not included originally

Where reasonably practicable, we will identify additional services before substantial additional work is undertaken.

20. Intellectual Property

Drawings, designs, models, specifications, visualisations, reports, concepts and other materials created by Zeal Wilkes Ltd may be protected by copyright and other intellectual-property rights.

Unless otherwise agreed, ownership of those rights remains with Zeal Wilkes Ltd.

The client may receive permission to use relevant design information for the specific project for which it was prepared, subject to payment of all fees due.

Design information must not be reused for another project, property or purpose without written permission.

21. Portfolio and Project Photography

Zeal Wilkes Ltd may wish to photograph or document completed work for portfolio, website, award, social-media or promotional purposes.

Where appropriate, reasonable consideration will be given to confidentiality and client privacy.

Clients with particular confidentiality requirements should notify us in writing.

22. Confidential Information

Both parties should treat genuinely confidential project and commercial information appropriately.

We may share necessary project information with consultants, contractors, authorities and other parties where this is reasonably required to provide the agreed services.

23. Website Content

Website content, photographs, project descriptions and service information are provided for general information.

They do not constitute project-specific professional advice.

Every property and development has its own constraints, and users should obtain appropriate advice before relying on general website information for a particular project.

24. Limitation of Liability

Nothing in these Terms excludes liability where exclusion would be unlawful, including liability for fraud, fraudulent misrepresentation or death or personal injury caused by negligence.

Any project-specific liability arrangements, professional indemnity provisions or limitations will be governed by the relevant appointment where applicable.

Zeal Wilkes Ltd will not be responsible for losses caused by inaccurate client information, third-party failures, unauthorised design changes or matters outside the agreed scope of services.

25. Suspension or Termination

Either party may terminate the appointment in accordance with any project-specific agreement.

Where no separate procedure has been agreed, either party should provide reasonable written notice.

The client remains responsible for fees and properly incurred expenses relating to services completed up to the termination date.

Zeal Wilkes Ltd may suspend services where invoices remain unpaid or where continuing the project would require unlawful or professionally inappropriate conduct.

26. Complaints

If you are dissatisfied with our services, please raise the matter promptly so that we have an opportunity to review it.

Complaints should include:

  • Client name
  • Project reference or address
  • Description of the concern
  • Relevant supporting information

We will seek to review genuine complaints fairly and respond within a reasonable period.

27. Data Protection

Personal data is handled in accordance with our Privacy Policy and applicable UK data-protection law.

Information may be processed for project management, communications, invoicing, professional administration and legal or regulatory purposes.

28. Changes to These Terms

We may update these website Terms periodically.

The terms applicable to an existing professional appointment will normally be those incorporated into the relevant project agreement unless the parties agree otherwise or a change is required by law.

29. Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes, subject to any mandatory rights that cannot legally be excluded.
